กฎการลงทุนของชาวต่างชาติ (Foreign Direct Investment) ในสหรัฐฯ
ตัวบทกฎหมายในสหรัฐฯ แบ่งเป็น 2 ระดับ คือ กฎหมายระดับสหพันธรัฐซึ่งมีผลบังคับใช้ทั่วประเทศ (Federal Laws) และกฎหมายระดับมลรัฐซึ่งมีผลบังคับใช้ภายในมลรัฐนั้นๆ (State Laws) โดยกฎหมายทั้ง 2 ระดับนี้จะมีผลบังคับใช้เหมือนกันในบางขั้นตอนของการดําเนินการทางธุรกิจ ดังนั้นนักลงทุนผู้มีความสนใจที่จะลงทุนในสหรัฐฯ จะต้องทําการศึกษาตัวบท
กฎหมายทั้ง 2 ระดับของมลรัฐที่เกี่ยวข้องในการทําธุรกิจอย่างถี่ถ้วน นอกจากนี้กฎหมายการทําธุรกิจในสหรัฐฯ จะแตกต่างกันไปตามมลรัฐ ดังนั้นบริษัทซึ่งจดทะเบียน ทําธุรกิจในมลรัฐหนึ่งๆ จะสามารถทําธุรกิจในมลรัฐนั้นได้เพียงที่เดียว อย่างไรก็ตามหากบริษัทมีความสนใจที่จะทําธุรกิจในมลรัฐอื่นจะต้องติดต่อกับเจ้าหน้าที่ของมลรัฐที่จะทําธุรกิจนั้นๆ
สหรัฐฯ ไม่มีข้อกำหนดในเรื่องสัดส่วนของการเป็นเจ้าของกิจการของนักลงทุนต่างชาติ ยกเว้นในกรณีที่เป็นการลงทุนร่วมเป็นเจ้าของกิจการในอุตสาหกรรมที่ถือว่ามีความอ่อนไหวต่อความมั่นคงของสหรัฐฯ โดยกฎระเบียบการลงทุนแบ่งออกเป็นข้อๆ ดังต่อไปนี้
1. สหรัฐฯ มีนโยบายเปิดเสรีเพื่อการลงทุนของชาวต่างชาติในสหรัฐฯ ดังนั้น จึงไม่มีการกำหนดวงเงินขั้นต่ำของการลงทุน
2. ในกรณีที่ผู้ลงทุนต้องการยื่นขอสิทธิการเป็นผู้อยู่อาศัยถาวรที่ถูกต้องตามกฎหมาย (Permanent Resident หรือ Green Card) ในกรณีนี้สหรัฐฯ กำหนดวงเงินลงทุนไว้ระหว่างห้าแสนดอลลาร์สหรัฐ ในเขตชนบทหรือเขตที่มีอัตราว่างงานสูงหรืออาจถึงหนึ่งล้านดอลลาร์สหรัฐ ในเขตเมืองใหญ่และต้องมีการปฏิบัติตามเงื่อนไขที่กฎหมายกำหนด เช่น ปฏิบัติตามกฎระเบียบและกฎหมายการจ้างแรงงานท้องถิ่นจะต้องสร้างการจ้างงานเต็มเวลาสำหรับบุคคลสัญชาติอเมริกันหรือคนที่มีถิ่นพำนักถาวรที่ถูกต้องตามกฎหมายอย่างน้อย 10 คนขึ้นไปเป็นระยะเวลา 2 ปี และบุคคลเหล่านี้จะต้องไม่ใช่เครือญาติของนักลงทุน
3. สหรัฐฯ มีกฎหมายในระดับรัฐบาลกลางและรัฐบาลมลรัฐที่มีข้อห้าม การจำกัดสัดส่วนของการลงทุน หรือชนิดของการลงทุนของนักลงทุนต่างชาติ ทั้งนี้ด้วยเหตุผลเรื่องความมั่นคงปลอดภัยและการปกป้องทรัพยากรธรรมชาติของประเทศรัฐบาลกลางสหรัฐฯ จะทำการควบคุมการลงทุนของต่างชาติในภาคธุรกิจดังนี้ คือ อุตสาหกรรมด้านการคมนาคมสื่อสารทุกชนิด อุตสาหกรรมด้านการบิน/การขนส่งทางอากาศ อุตสาหกรรมด้านการเดินเรือ/การประมง อุตสาหกรรมด้านพลังงาน อุตสาหกรรมด้านการเช่าสิทธิทำเหมืองแร่ อุตสาหกรรมธนาคาร อุตสาหกรรมอสังหาริมทรัพย์ (โดยทั่วไปแล้วสหรัฐฯ จะไม่เข้มงวดในเรื่องการถือครองที่ดินของคนต่างชาติ)

1. ผู้ลงทุนที่เป็นคนในสังกัดของประเทศที่อยู่ในระหว่างการทำสงครามกับสหรัฐฯ หรือประเทศที่สหรัฐฯกำหนดให้มีการควบคุมการเดินทางเข้าสหรัฐฯ และการค้ากับสหรัฐฯ
2. การลงทุนที่จะต้องมีการถือครองพื้นที่ทางการเกษตรรัฐบาลท้องถิ่นจะมีกฎหมายควบคุมการลงทุนของคนต่างชาติที่เป็นของตนแยกออกไปต่างหากจากกฎหมายรัฐบาลกลางและจะแตกต่างกันในแต่ละมลรัฐ
3. สิ่งที่ผู้ประสงค์จะไปลงทุนในสหรัฐฯ จะต้องคำนึงถึง คือ ศึกษากฎระเบียบ และปฏิบัติตาม
3.1 การได้มาซึ่งสถานะภาพการอยู่อาศัยอย่างถูกต้องในสหรัฐฯ (วีซ่า) ที่เหมาะสมกับการประกอบธุรกิจที่ลงทุนที่จะเปิดโอกาสให้สามารถดำเนินธุรกิจที่ลงทุนได้อย่างมีประสิทธิภาพซึ่งประเภทของวีซ่าในการประกอบธุรกิจในสหรัฐฯ มีดังต่อไปนี้คือ
- วีซ่าประเภท E-1 – ผู้ประกอบการธุรกิจต่างชาติในสหรัฐฯ ซึ่งรวมถึงไทย สามารถร้องขอวีซ่าชนิดนี้ได้ หากมีธุรกิจการค้าขายระหว่างสหรัฐฯ และประเทศคู่เจรจา
- วีซ่าประเภท E-2 – ผู้ประกอบการจากประเทศคู่เจรจาซึ่งรวมถึงไทยสามารถร้องขอวีซ่าชนิดนี้ได้หากทําการลงทุนทําธุรกิจในสหรัฐฯ
- วีซ่าประเภท H-1B – วีซ่าประเภทนี้จัดเป็นวีซ่าชั่วคราว โดยผู้ร้องขอวีซ่าจะต้องเป็นผู้เชี่ยวชาญในสาขาที่ใช้ความรู้พิเศษ เช่น สถาปนิก วิศวกรรมศาสตร์ คณิตศาสตร์ หรือเทววิทยา โดยจํานวนผู้ที่สหรัฐฯ สามารถออกวีซ่าประเภทนี้ได้อยู่ที่ 65,000 คน ซึ่งวีซ่าจะมี ผลบังคับใช้ได้มากที่สุด 3 ปีและสามารถต่อได้อีก 6 ปี
- วีซ่าประเภท L-1 – วีซ่าประเภทนี้อนุญาตให้ผู้ร้องขอวีซ่าซึ่งมีความสามารถพิเศษ และดํารงตําแหน่งเป็นผู้บริหาร ผู้จัดการ และพนักงานของบริษัทแม่อย่างน้อย 12 เดือนก่อนทําการร้องขอเข้ามาทํางานชั่วคราวได้ในสหรัฐฯเป็นเวลามากที่สุด 7 ปี

3.2 การเสียภาษีธุรกิจและภาษีรายได้ส่วนบุคคล หมายถึงการได้มาซึ่งเอกสารต่างๆที่จำเป็นต่อการเสียภาษีรายได้ส่วนบุคคลและภาษีธุรกิจ
3.3 ขั้นตอนและหน่วยงานที่จะต้องติดต่อในการจดทะเบียนการค้า
3.4 ขั้นตอนการยื่นคำร้องขอตั้งชื่อบริษัทหรือธุรกิจการค้า
3.5 การยื่นขอใบอนุญาตหรือใบประกาศนียบัตรต่างๆ (license, permit, certificate) ที่จำเป็นต้องมีและที่แตกต่างกันออกไปตามประเภทของธุรกิจ
3.6 การยื่นขอจดทะเบียน Trademark หรือ Service mark (ถ้ามี)
